1. Governing Law & Jurisdiction
This agreement is governed by the laws of Singapore. The exclusive jurisdiction for any disputes is the courts of Singapore. The language of this contract is English.

2. Engagement Structure
Advisors are independent contractors, not employees of Gateway. Advisors are engaged on a non-exclusive basis. Each advisory session constitutes a separate engagement under this master agreement. Gateway acts as the platform and intermediary; it is not a party to the substantive advice given.

3. Confidentiality
Advisors must keep confidential, both during and after any engagement: (a) the identity of Gateway's clients; (b) the subject matter and content of any engagement or questions asked; (c) Gateway's fee structure, platform operations, and commercial terms; (d) any proprietary information shared by clients during sessions. Confidentiality obligations survive termination indefinitely for client identity and session content, and for 3 years for platform/commercial information.

4. Non-Circumvention
Advisors agree not to engage directly with any Gateway-introduced client, outside of the platform, for 18 months from the date of their last platform engagement with that client. "Gateway-introduced" means any client whose identity the advisor first became aware of through Gateway. If a client contacts the advisor directly (outside the platform), the advisor must notify Gateway within 5 business days and redirect the client back to the platform.

5. Platform-Only Engagement
All communications with clients prior to and during engagements must occur through Gateway's platform messaging layer. Advisors may not share personal contact details (email, phone, WhatsApp, LinkedIn) with clients through the platform or during sessions. Post-engagement direct contact is only permitted if Gateway has provided written consent.

6. Fee Structure & Platform Integrity Hold
Advisors are paid within 14 days of a completed and confirmed engagement. A Platform Integrity Hold of 15% of each session fee is withheld and released 90 days after the engagement, contingent on no circumvention being identified during that period. If circumvention is identified during the hold period, the withheld amount is forfeited — Gateway will not pursue further payment but will not release the held amount. Gateway retains a platform fee per session.

7. Conflict of Interest & Disclosure
Advisors must disclose any conflicts of interest prior to accepting an engagement. Advisors must not share confidential information belonging to their employer or any third party during sessions. Advisors in regulated industries (finance, law, medicine) are responsible for ensuring their advisory activity complies with their own regulatory obligations.

8. Intellectual Property
Advisors retain ownership of their general knowledge and expertise. Any written deliverables produced specifically for a Gateway engagement are owned by the client, with Gateway holding a non-exclusive licence for platform-related purposes. Advisors grant Gateway a licence to use anonymised engagement data for platform improvement.

9. Termination
Either party may terminate with 30 days written notice. Gateway may terminate immediately upon breach of confidentiality, non-circumvention, or platform-only engagement provisions. The confidentiality and non-circumvention provisions survive termination.

10. Limitation of Liability
Gateway's liability is limited to fees paid in the 3 months prior to any claim. Advisors are liable for their own advice; Gateway makes no warranties as to the quality or accuracy of advisor input.

11. Electronic Execution
This agreement is executed electronically. Under Singapore's Electronic Transactions Act (Cap. 88), your electronic acceptance is legally binding. Gateway records your IP address, the timestamp of acceptance (UTC), your user ID, and the version number of this agreement at the point of acceptance. This record constitutes the legal evidence of your consent.
